Introduction

These Terms & Conditions (“Terms”) govern your use of the Top Cyber Solutions (“TCS,” “we,” “us,” or “our”) website and apply to inquiries about our residential and business technology services.

Important Notice: Submitting a website form, requesting a quote, or contacting us does not by itself enroll you in a subscription, authorize remote access to your computer, or create a service agreement.

Specific services may require a separate Residential Service Agreement, Business Master Services Agreement (MSA), Statement of Work (SOW), order form, Remote Access Authorization, or Data Processing Agreement (DPA). If a signed agreement conflicts with these website Terms, the signed agreement will govern the services it specifically covers, to the extent permitted by law.

01

1. Eligibility and Authorized Use

You must have legal authority to use our website and request the services you select. You may not use our website or services for unlawful activities, unauthorized access, abuse, fraud, or interference with another person’s systems or data.

You must have permission to request support for any computer, account, network, or device you ask us to access or manage. We may decline requests that appear unlawful, unsafe, or outside our capabilities.

02

2. Services Offered

Depending on availability and the applicable agreement, TCS may offer:

Residential computer security and support plans, including Sentinel, SafeVault, and HomeCare.

One-time remote technical support and new-computer setup.

Business managed IT, cybersecurity, helpdesk, and endpoint management.

Endpoint protection, patch management, remote monitoring and management (RMM), and related security services.

Cloud services, backup solutions, network support, and business continuity services.

Website, application, communications, and other technology services.

Not every service is available to every customer, device, operating system, or location. Service features, supported devices, prices, response times, and exclusions are determined by the applicable plan description, quote, or written service agreement.

03

3. Website Inquiries, Quotes, and Service Acceptance

Website forms and initial consultations are requests for information, not guarantees that TCS will accept the work or provide a particular result.

Quotes are subject to the scope, assumptions, exclusions, pricing, and validity period stated in the quote. Additional work or changes in scope may require a revised quote or written approval.

A service relationship begins only when TCS accepts the request and the required agreement, payment, and authorizations have been completed, where applicable.

04

4. Residential Plans and Subscriptions

Residential plan names, features, prices, device limits, backup allowances, support availability, and other benefits are governed by the plan description in effect when the customer enrolls and the applicable Residential Service Agreement.

Customers should review what is included and excluded before enrolling. A plan does not include unlimited support, unlimited data storage, every possible repair, or every device unless the applicable written plan expressly says so.

Plan availability and supported features may vary by device, operating system, third-party software, and technical conditions. TCS will disclose material plan limitations before enrollment where required by law.

05

5. Automatic Renewal and Cancellation

If a residential or business service renews automatically, TCS will disclose the renewal frequency, applicable price, cancellation method, and other legally required terms before obtaining the customer’s affirmative consent.

We will not treat a general website inquiry or a request for a quote as consent to a paid subscription or automatic renewal.

Customers may cancel according to the applicable service agreement and the cancellation instructions provided at enrollment. Any required cancellation confirmation, reminder, or other notice will be provided as required by applicable law.

Consumer Rights Protection: Nothing in these Terms waives a consumer’s mandatory cancellation, refund, or other legal rights. Any refund, prorating, or early-termination charge must be governed by the applicable agreement and applicable law.

06

6. One-Time Remote Support and Computer Setup

One-time support and computer setup are separate from recurring residential protection plans unless the customer expressly enrolls in a plan.

Standard Rate Notice: The currently stated rate for remote support is $45 per 30 minutes ($90 per hour). The actual amount charged, minimum billing increment, included time, additional charges, and any exceptions must be confirmed before work begins.

New-computer setup and onsite support may have separate starting prices. A starting price is not a guaranteed final price; the final scope and price must be agreed upon before chargeable work proceeds.

TCS will explain any material additional work or charges and seek approval before proceeding with work outside the agreed scope, except where otherwise expressly agreed or permitted by law.

07

7. Remote Access and Remote Monitoring and Management (RMM)

Remote access is provided only when reasonably necessary for an agreed service and with appropriate customer authorization.

Temporary remote-support sessions and persistent RMM installations are different. A temporary session should be used for the authorized support task and disconnected when the session ends. If software must be installed for a one-time service, TCS will explain its purpose and whether it remains installed after the service.

Persistent RMM, endpoint-management, or security software may permit ongoing monitoring, maintenance, alerts, updates, or remote administration. These capabilities must be disclosed and separately authorized as applicable. Customers must not assume that submitting a website form grants TCS ongoing access.

Customers may request termination of remote access or removal of software, subject to applicable service agreements, technical limitations, security requirements, and legal obligations. After service termination, TCS will revoke or remove access under its control within a reasonable period, where technically feasible and consistent with applicable obligations.

Security Notice: Customers should not share account passwords through ordinary website forms or email. Where credentials or privileged access are required, TCS will use an appropriate method where available.

08

8. Cybersecurity Limitations

Cybersecurity tools and services can reduce risk but cannot guarantee that every virus, malicious file, scam, intrusion, vulnerability, or data breach will be detected or prevented.

Protection depends on factors including device condition, software versions, customer behavior, vendor capabilities, configuration, internet connectivity, and timely installation of updates. TCS does not promise uninterrupted protection or a threat-free environment.

Continuous or 24/7 monitoring is provided only if expressly included in the applicable service agreement. Customers remain responsible for following security recommendations and promptly reporting suspected incidents.

09

9. Backups and Data Loss

Customers should maintain current, independent backups of important files before repairs, migrations, operating-system changes, security remediation, or other work that may affect data.

Backup services, where offered, are subject to the applicable plan’s storage limits, retention settings, supported systems, recovery procedures, and other conditions. A backup service does not guarantee that every file can always be recovered.

TCS will exercise the duties expressly accepted under the applicable service agreement. Nothing in these Terms removes responsibilities or liability that cannot lawfully be excluded.

10

10. Third-Party Software and Services

TCS may use or recommend third-party products and services, including remote-management software, endpoint security, cloud platforms, backup providers, internet services, and operating systems.

Third-party products are subject to their own terms, licenses, privacy notices, service availability, and technical limitations. Unless expressly agreed in writing, TCS does not control third-party products or guarantee their performance, availability, security, or continued support.

Any applicable third-party charges, license requirements, and material dependencies should be disclosed in the relevant quote or service agreement.

11

11. Customer Responsibilities

Customers agree to:

Provide accurate information needed to deliver the requested service.

Confirm that they own or are authorized to manage the affected devices, accounts, and systems.

Maintain appropriate backups and retain copies of important records.

Keep contact details and relevant account information current.

Cooperate with reasonable troubleshooting, security, and maintenance requests.

Review and approve proposed work, costs, and material changes in scope.

Notify TCS of known constraints, critical systems, unusual behavior, or suspected security incidents.

Maintain required licenses and permissions for their software, data, and third-party services.

Prohibited Conduct: Customers must not knowingly use TCS services to violate laws, infringe rights, access systems without authorization, or introduce malicious code.

12

12. Privacy and Data Protection

TCS’s handling of personal information is described in its Privacy Policy: https://www.topcybersolutions.com/privacy-policy

When delivering support, TCS may need to access device information, system logs, files, settings, or other data relevant to the authorized task. Access should be limited to what is reasonably necessary for the agreed service, subject to the technical capabilities of the tools used.

Business customers requiring specific confidentiality, security, data-processing, or regulatory commitments should obtain a written agreement addressing those requirements before providing sensitive or regulated information.

13

13. Fees, Taxes, and Payment

Prices, billing frequency, taxes, deposits, payment methods, renewal terms, and other charges will be disclosed in the applicable quote, order, plan description, or service agreement.

Customers authorize only the payments they expressly agree to, including any recurring payment arrangement they affirmatively approve. A website inquiry alone does not authorize a charge.

Disputed invoices and payment issues should be raised promptly using the contact details below. Any late fees, collection costs, refunds, or payment remedies must be stated in the applicable agreement and permitted by law.

14

14. Service Availability, Suspension, and Termination

Service availability may be affected by maintenance, internet connectivity, third-party outages, device limitations, security events, or circumstances outside TCS’s reasonable control.

Where permitted by the applicable agreement and law, TCS may suspend or terminate services for nonpayment, material breach, unlawful use, security risks, or circumstances that make continued service unsafe or impracticable.

Where reasonably possible, TCS will provide notice and an opportunity to address the issue before suspension or termination, except when immediate action is reasonably necessary to protect systems, people, data, or legal interests.

Any customer termination rights, final charges, refunds, data-return procedures, and access-removal arrangements are governed by the applicable service agreement and mandatory law.

15

15. Warranties and Disclaimers

TCS will provide services according to the applicable written agreement and any warranties expressly provided in that agreement.

To the extent permitted by law, website content and general information are provided for informational purposes and do not constitute a guarantee of a particular technical, security, business, or financial outcome.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded or limited.

16

16. Limitation of Liability

To the extent permitted by applicable law, TCS will not be liable under these website Terms for indirect, incidental, special, exemplary, or consequential losses arising from use of the website or services, where such exclusion is lawful.

Any agreed monetary liability cap, allocation of risk, or additional limitation for a particular service must be stated in the applicable written service agreement and must comply with applicable law. These website Terms do not establish a universal monetary cap for every customer or service.

Statutory Safeguards: Nothing in these Terms excludes or limits liability for fraud, willful misconduct, or any other liability that cannot lawfully be excluded or limited.

17

17. Indemnification

Each party remains responsible for its own acts and omissions as required by law.

Any indemnification obligations relating to business services, third-party claims, intellectual property, or other risks should be expressly stated in the applicable negotiated written agreement.

Nothing in these Terms requires a residential consumer to indemnify TCS for claims to an extent that is unlawful or unenforceable under applicable law.

18

18. Intellectual Property and Website Content

The website’s text, branding, graphics, design, and other content are owned by TCS or used with permission, unless otherwise stated. They may not be copied, republished, or used commercially without appropriate authorization, except as permitted by law.

Customers retain rights to their own data and materials. Any rights to software, deliverables, configurations, documentation, or other work created or supplied during a service will be determined by the applicable written agreement and third-party licenses.

19

19. Former Skyland Repair Customers

Former Skyland Repair customers may contact TCS to ask about available support, computer setup, or residential protection plans.

Skyland Repair Transition: A prior relationship with Skyland Repair does not automatically enroll a customer in a TCS subscription, authorize persistent RMM installation, permit ongoing monitoring, or authorize remote access to a device.

Any new subscription, continuing management service, or remote-access arrangement requires appropriate disclosure and authorization. Customers may ask TCS to clarify the scope of any existing service arrangement.

20

20. Marketing and Electronic Communications

TCS may send service-related communications necessary to respond to inquiries, administer an account, provide support, or fulfill an agreement.

Marketing emails and text messages will be handled in accordance with applicable law and the permissions or consent required for the relevant communication. Customers may use the applicable unsubscribe or opt-out method where provided and required.

Submitting a support request does not by itself constitute consent to receive recurring marketing messages. Consent to marketing is not a condition of purchasing a service where prohibited by law.

21

21. Disputes and Governing Law

These Terms are governed by the laws of the State of California, except where another law must apply under mandatory legal requirements.

If a dispute arises, the parties are encouraged to contact each other first and attempt to resolve it in good faith. This does not prevent either party from pursuing any remedy or proceeding available under applicable law.

These website Terms do not impose mandatory arbitration, waive a jury trial, or require a class-action waiver. Any such provision would require separate, appropriately drafted terms and legally sufficient acceptance.

22

22. Changes to These Terms

TCS may update these Terms as its website, services, or legal obligations change. The current version will be posted on this page with an updated effective date when appropriate.

Changes will apply prospectively to the extent required by law. Material changes to an existing paid service may also require notice, consent, or a separate agreement. Nothing in this section retroactively removes rights or remedies that have already accrued.

23

23. General Provisions

If any provision of these Terms is found unenforceable, the remaining provisions will remain effective to the extent permitted by law.

A failure to enforce a provision on one occasion does not automatically waive the right to enforce it later.

These website Terms, together with applicable policies and any relevant signed service agreement, describe the applicable understanding between the parties concerning their subject matter. A specific signed agreement controls where it expressly governs a service and conflicts with these website Terms, to the extent permitted by law.

Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between TCS and a customer.
